Terms & Service Conditions
These terms explain use of the Cogent CRM website and the service terms that may be incorporated into a customer agreement. “Cogent,” “we,” and “us” refer to Prosource Inc. d/b/a Cogent CRM. For purchased services, your accepted Order identifies the contracting parties. Questions: [email protected].
1. Your agreement and acceptance
An “Order” is an accepted proposal, order form, service agreement, or recorded electronic agreement identifying your purchased services and commercial terms. Merely browsing this website does not purchase a subscription or accept new charges. Subscription provisions on this page and the linked policies apply only when incorporated into your Order or otherwise validly accepted.
Specifically negotiated terms control over inconsistent general website terms. An applicable data-processing agreement controls its data-processing subject matter. Your accepted agreement determines any remaining order of precedence. A later website update does not silently replace an existing negotiated commitment. Anyone accepting an Order for an organization must have authority to do so.
2. Changes to pricing, policies, and terms
Cogent reserves the right to update its prices, service offerings, policies, and terms prospectively. For existing customers, we will provide at least 30 days’ direct advance notice of a material pricing increase or material contractual change, identifying the change, effective date, and applicable cancellation or nonrenewal options. A longer notice period required by your agreement or applicable law controls. New offers may use new pricing immediately without changing an existing customer’s agreed rate.
Discretionary price increases for an existing subscription take effect no earlier than its next permitted renewal, unless a different change mechanism was expressly agreed. Fixed-price commitments and negotiated exceptions remain effective for their agreed period. Separately agreed variable usage or third-party charge formulas operate as disclosed in the Order; they are not permission for undisclosed additional fees.
We may make nonmaterial corrections, or changes genuinely necessary for legal compliance or urgent security protection, sooner, with notice as appropriate. This exception does not permit an unrelated price increase or material reduction of customer rights without the otherwise required process. Changes are not retroactive. We will obtain affirmative agreement where required; posting a page or customer silence alone does not supply it. Customers who do not agree may exercise their applicable cancellation or nonrenewal rights before the change takes effect.
3. Services and authorized changes
Your Order defines purchased capabilities, deliverables, fees, and responsibilities. A demonstration, roadmap item, or request is not automatically included custom development. Scope changes require recorded agreement by authorized representatives on scope, price, and timing. Silence is not acceptance. This rule does not erase commitments already made by an authorized representative or reduce existing support obligations. See our Support & Implementation Policy and Billing, Usage & Cancellation Policy.
4. Customer data, confidentiality, and intellectual property
You retain your rights in customer data. Cogent receives only the permissions reasonably needed to provide, secure, and support the contracted service, subject to your agreement and applicable law. Customer records, case materials, and confidential communications are not licensed for advertising, public distribution, or testimonials. Use of your name, logo, or testimonial requires separate permission.
Each party must protect the other’s confidential information and limit disclosure to authorized recipients who need it for the agreement and are subject to appropriate confidentiality duties. Exceptions include information lawfully public, independently developed, or lawfully received without restriction. Legally compelled disclosure must be limited to what is required, with notice where lawful. Cogent retains its pre-existing software, methods, and templates; ownership or licensing of custom deliverables belongs in the Order.
5. Responsible use and account protection
Use the service lawfully and within purchased permissions. Do not access other accounts without authorization, disrupt systems, distribute malicious code, infringe others’ rights, or send unlawful communications. Customers manage authorized users and promptly report suspected compromised access. Cogent remains responsible for its own agreed security, configuration, and service duties. The AI & Communications Policy addresses automation and professional review.
6. Service limitations and preserved rights
Website information is general information, not legal advice. Except for express agreed commitments and rights that cannot lawfully be excluded, website materials are provided as available without warranties of completeness or fitness for a particular purpose. Software and external networks can experience interruptions or errors. We do not guarantee rankings, leads, revenue, case outcomes, or error-free AI output. This does not override contracted service standards, excuse misleading representations, or remove remedies for failures within Cogent’s responsibility.
Any liability limits, indemnities, governing law, or dispute forum are those validly agreed in your service agreement and permitted by law. This page does not impose a new monetary liability cap, mandatory arbitration, class-action waiver, or shortened claim deadline. Neither party waives nonwaivable legal rights.
7. Suspension, termination, and notices
Termination and payment obligations follow your accepted agreement. Any suspension must be proportionate to the issue, with notice and a reasonable opportunity to address it where practicable; urgent security threats or legal requirements may require immediate action. Suspension is not permission to impose unrelated charges. Contact [email protected] for billing concerns, cancellation, or agreement notices unless your Order specifies an additional formal notice method. Keep your authorized account contact current.
